Dan Weede represents owners, investors, and developers in the acquisition, disposition, development, and financing of commercial real estate, including industrial, hotel, multi-family, and mixed-use properties. He has over 25 years of extensive experience representing hotel brands, owners, developers, lenders, and managers in all aspects of hotel ownership, management, and financing. He also routinely negotiates franchise and development agreements for hotel properties nationwide. Daniel’s passion for commercial real estate development led him to become a co-founder and former president of the Atlanta Hospitality Alliance, a professional development and networking group.

Hospitality Experience

Hotel Development

  • Represented a Florida-based developer in the development of an approximately $230 million St. Regis hotel and St. Regis branded residences in Nashville, TN.
  • Represented a South Carolina-based developer in the development of an approximately $200 million Ritz Carlton hotel and Ritz-Carlton branded residences in Savannah, GA.
  • Represented Georgia-based developer in the development of an approximately $150 million Marriott Autograph Collection hotel and resort and branded residences in rural Georgia financed in part by the commercial property assessed clean energy (“C-PACE”) program.
  • Represented a Texas-based developer in the adaptive reuse development of an approximately $110 million Marriott Tribute Portfolio hotel in Waco, Texas.
  • Represented hotel developer/owner in connection with land acquisition and development of a Hilton Tapestry Collection hotel in suburban Atlanta, developed through a public private partnership with a local development authority.
  • Represented an Atlanta-based developer in the development of a $55 million Crowne Plaza hotel within an urban entertainment district in South Carolina.
  • Represented a Florida owner/developer in the development of a Hyatt Place and Hotel Indigo in Destin, Florida.
  • Represented a Florida-based developer in the development of a $25 million Courtyard by Marriott hotel in Jacksonville, Florida using historic tax credits.
  • Assisted local developer with the development of a dual-branded (Homewood Suites and Canopy by Hilton) in downtown urban location.
  • Represented hotel owner/developer in the $35 million development of a Hilton Garden Inn in an urban mixed-use development in Atlanta, Georgia.
  • Represented foreign investor group in $80 million development of luxury hotel in Atlanta using EB-5 financing and “key money” in lieu of traditional financing.
  • Represented hotel owner/developer in the development of an approximately $30 million new Marriott brand along the “ATL SkyTrain” at Hartsfield-Jackson Atlanta International Airport.
  • Represented major hotel brand company in site acquisition, entitlement process and project development activities for the company’s newly launched brand’s initial 20 extended stay hotels in the United States. The work included negotiation of complex easement and restriction agreements to address issues involved with shared amenities and mixed-use restrictions.

Purchases and Sales of Hotel Properties

  • $450 million portfolio sale of 13 hotel properties in the United States, Canada, and the Caribbean to monetize strategic hotel assets in a tax efficient manner while retaining non-terminable management rights to the properties.
  • $300 million sale of a majority partnership interest to hotel properties with the retention of long-term management rights for luxury hotels in Chicago, IL and Miami, FL.
  • $17 million sale (in lieu of condemnation) of the Sheraton Gateway Hotel to the City of Atlanta.
  • $70 million acquisition of the Doubletree by Hilton at SeaWorld in Orlando, FL.
  • $20 million acquisition of Sheraton Metairie hotel in Louisiana.
  • $32 million acquisition of two adjoining upscale hotels in Winston-Salem, NC with simultaneous negotiations of off-site convention center management contract and off-site shared parking agreement.
  • $50 million acquisition of the Doubletree Atlanta Downtown from a public hotel REIT with simultaneous negotiations for offsite parking facilities.
  • $50 million sale of a full-service hotel encumbered by a long-term management agreement in Kansas City, KS.
  • $65 million sale of a 500-room luxury hotel in Atlanta GA.
  • $26 million sale of historic resort hotel on Tybee Island, GA.
  • Complex tri-party portfolio sale of 11 hotel properties with contemporaneous negotiations to terminate existing management agreements and negotiate new management agreements.
  • $28 million sale of 160 room resort and spa in Santa Fe, NM including sale of existing liquor license in highly regulated state.

Management and Operating Agreements

  • Represented owners/developers in “branded” management agreement negotiations with all major brand companies.
  • Represented owners/developers in third-party management agreement negotiations with over 50 different hotel management companies in the last 15 years.
  • Represented a major hotel brand in negotiating their long-term “branded” management agreements in conjunction with multiple “sale/manage-back” portfolio transactions.
  • Represented 6 different third-party hotel management companies in negotiations of their hotel management agreements with owners.
  • Represented developer in the negotiation of a branded management agreement with Marriott for an approximately 200 room St. Regis hotel and 100 St. Regis branded residences in Tennessee.
  • Represented developer in the negotiation of a branded management agreement with Marriott for a Ritz-Carlton hotel and branded residential project in Savannah GA.
  • Represented the hotel owner/developer in negotiation of “Manchise” Management and Franchise Agreement negotiations with major brand for a luxury hotel adjacent to a major sports stadium in North America. Negotiated “key money” and early termination option for owner where owner had an option to terminate the management agreement and keep the franchise.
  • Represented an Atlanta-based management company in negotiating long-term management agreement for a Hotel Indigo in downtown Atlanta.
  • Represented a major hotel brand company in structuring its $1 billion multi-property/multi-portfolio/multi-country hotel disposition designed to monetize strategic hotel assets in a tax-efficient manner while retaining long-term, non-terminable management rights to the properties.
  • Represented the owner in the negotiation of a long-term management agreement and related technical services agreement to redevelop and re-flag a large downtown Atlanta hotel with a luxury hotel brand.
  • Represented third-party manager in the negotiation of a long-term management agreement and separate food services agreement for an adjoining restaurant facility related to an upscale hotel development in Atlanta, GA.
  • Represented owner in the negotiation of a complex early termination and settlement agreement of management and brand licensing agreement for a 500-room full-service hotel in Atlanta, GA.
