Overview
Nate focuses on helping U.S. and international clients close transactions in the United States.
Most often, he does so through negotiation of definitive agreements in the context of mergers and acquisitions, divestitures, joint ventures, majority and minority equity investments, and other corporate transactions. Where the transaction terms implicate antitrust or other regulatory requirements, Nate has significant experience advising clients regarding Hart-Scott-Rodino filings and addressing agency follow-ups regarding the effect of the transaction on competition.
Outside of the transactional context, he handles a broad range of corporate, and governance matters for clients. While he represents clients of all sizes, from pre-revenue to established international companies with $1 billion or more in revenues, and across all sectors, he has particular experience advising businesses operating in the banking, insurance, financial services, manufacturing, and construction sectors.
As a member and regular attendee of the American Bar Association’s M&A Committee meetings and an active participant in its Deal Points Studies, Nate stays current with changes in market trends.
Prior to dedicating himself to transactional law, Nate gained significant experience advising clients on the thicket of state and federal laws regulating financial services companies, particularly in the area of consumer protection. In conjunction with this work, Nate helped clients respond to criminal and civil investigations as well as conduct internal investigations.
He received his J.D from the University of Alabama School of Law, and his B.A. in History cum laude from Vanderbilt University. Prior to law school, Nate taught English in Paris, France to local students.
