Overview

Ryan is a Shareholder in Maynard Nexsen’s Private Markets and Real Estate practice groups. He is a seasoned corporate and real estate lawyer with a particular concentration in the areas of business and investment transactions, real estate transactions, joint ventures, financing, capital raising, and syndication.

Situated in Phoenix, Ryan uses his experience to serve as a true business and strategy partner to his clients. He has represented private and public companies in a wide range of matters involving complex business transactions and regulatory compliance, including:

  • Fund formation, structuring, and syndication
  • Private securities transactions
  • Joint ventures
  • Real estate acquisitions, dispositions, and development
  • Real estate financing
  • Formation of real estate equity and debt investment funds and associated co-investment vehicles and subsidiary entities
  • Formation of real estate equity and debt investment funds and associated co-investment vehicles and subsidiary entities
  • Regulatory compliance and exemptions, including FINRA, SEC, Investment Company Act, and Investment Advisers Act
  • Mergers and acquisitions
  • Corporate governance. licensure and risk management
  • Corporate and business transactions and contracting

Ryan also has experience with tax and regulatory aspects related to foreign ownership of U.S. real property, including FIRPTA compliance. 

Prior to joining the firm, Ryan was General Counsel and Executive Vice President, Law for an international real estate investment and management firm with approximately $3.4 billion in real assets under administration on behalf of investors and owners from more than 82 countries. In his nearly 12 years as an in-house attorney, Ryan was responsible for managing all legal aspects of the business, including real estate, regulatory compliance, securities, contracts, transactional structuring, governance, risk management, employment, and litigation.  In addition, before transitioning to his in-house attorney role, Ryan was in private practice for five years in the Corporate & Securities Practice in the Phoenix office of a global law firm.
