Jeffrey G. Rogers

Jeff is an Associate handling matters for a wide range of business clients related to all aspects of their daily operations and long-range planning, including mergers and acquisitions, joint ventures, and other strategic initiatives and financial goals.

As a member of the Firm’s Public Company Advisory group, he has a focus in assisting publicly traded and reporting companies with concerns involving corporate governance and securities issues, as well as their acquisitions and dispositions. In this regard, he counsels companies in the preparation their SEC disclosure and filing obligations, including companies’ proxy statements, current and periodic reports and Section 16 insider ownership reports.

Jeff also regularly represents clients in exempt securities offerings. In particular, he frequently advises companies offering securities pursuant to Tier 2 of Regulation A and has significant experience reviewing offering statements on Form 1-A and annual and semi-annual reports.
